6. Intellectual Property

All software, source code, trademarks, logos, branding, designs, content, documentation, and materials provided by OutsourceWise remain the exclusive property of OutsourceWise unless otherwise agreed in writing.

Users may not reproduce, distribute, modify, reverse engineer, resell, sublicense, or commercially exploit any OutsourceWise intellectual property without prior written consent.

7. User Content

Users retain ownership of their uploaded content.

By uploading content, you grant OutsourceWise a non-exclusive, worldwide, royalty-free license to process, store, transmit, and display such content solely for the purpose of delivering services.

You are solely responsible for ensuring that your content complies with applicable laws and does not infringe the rights of any third party.

8. Artificial Intelligence Services

Certain services may use Artificial Intelligence (AI), Machine Learning (ML), Large Language Models (LLMs), and automation technologies.

• AI-generated outputs may contain inaccuracies or incomplete information.
• Users should independently verify important information.
• OutsourceWise does not guarantee the accuracy of AI-generated results.
• Users remain responsible for all decisions based on AI-generated outputs.

9. Payments and Billing

• Fees must be paid according to agreed plans, invoices, or subscriptions.
• Payments are non-refundable unless specifically stated otherwise in writing.
• Late payments may result in service suspension or termination.
• Users are responsible for all applicable taxes, GST, duties, and government charges.

10. Subscription Services

• Subscriptions may automatically renew unless canceled.
• Users may cancel before the next billing cycle.
• No partial refunds will be provided for unused subscription periods.

11. Third-Party Services

Our services may integrate with third-party platforms including:

• Google Services
• Cloud Service Providers
• Payment Gateways
• Communication APIs

OutsourceWise is not responsible for third-party outages, policy changes, pricing modifications, restrictions, service interruptions, or platform decisions.

12. Limitation of Liability

To the fullest extent permitted by law, OutsourceWise shall not be liable for:

• Indirect or consequential damages
• Loss of profits or revenue
• Loss of business opportunities
• Data loss or corruption
• Service interruptions
• AI-generated inaccuracies
• Third-party service failures

Our total liability shall not exceed the amount paid by the user during the preceding three (3) months for the affected service.

13. Indemnification

You agree to defend, indemnify, and hold harmless OutsourceWise, its employees, directors, affiliates, partners, and contractors from any claims, liabilities, damages, costs, and expenses arising from:

• Your use of services.
• Your content.
• Your violation of these Terms.
• Your violation of applicable laws or third-party rights.

14. Service Availability

While we strive to provide reliable services, we do not guarantee:

• 100% uptime.
• Uninterrupted access.
• Error-free operation.
• Compatibility with all devices, systems, or browsers.

15. Suspension and Termination

OutsourceWise may suspend, restrict, or terminate access without notice if:

• These Terms are violated.
• Fraudulent activity is suspected.
• Required by law or regulatory authorities.
• Payment obligations are not fulfilled.

16. Confidentiality

Both parties agree to maintain the confidentiality of all non-public, proprietary, or confidential information disclosed during the course of service delivery.

17. Data Protection

Collection, storage, and processing of personal information are governed by our Privacy Policy.

18. Force Majeure

OutsourceWise shall not be liable for delays or failures resulting from events beyond reasonable control, including:

• Natural disasters
• Internet or telecommunications failures
• Government actions
• Cyber attacks
• War or civil unrest
• Pandemics
• Labor disputes

19. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of India.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

20. Changes to Terms

OutsourceWise reserves the right to update or modify these Terms at any time.

Continued use of our services after publication of updated Terms constitutes acceptance of the revised Terms.
