Welcome to OutsourceWise (“Company”, “we”, “our”, or “us”). These Terms & Conditions govern your access to and use of our website,
software, applications, APIs, products, and services.

Course Outline

1. Definitions

• User means any individual, company, organization, or entity accessing our services.
• Content means data, files, documents, text, images, videos, reports, and information uploaded or generated through our services.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use our services.

3. Account Registration

• You are responsible for maintaining account security.
• You are responsible for all activities under your account.
• You must provide accurate information.
• You must promptly update any changes to your information.

We reserve the right to modify, suspend, or discontinue any service without prior notice.

5. User Responsibilities

You agree not to:

• Violate any applicable law or regulation.
• Upload malicious software or harmful code.
• Attempt unauthorized access to systems.
• Use services for fraudulent activities.
• Send spam or unsolicited communications.
• Infringe intellectual property rights.
• Disrupt platform functionality.

6. Intellectual Property

All software, code, trademarks, logos, designs, content, branding, and materials provided by OutsourceWise remain the property of OutsourceWise unless otherwise agreed in writing.

Users may not copy, distribute, modify, reverse engineer, or commercially exploit our intellectual property without written permission.

7. User Content

Users retain ownership of their uploaded content.

By uploading content, you grant OutsourceWise a limited license to process, store, display, and transmit such content solely for providing services.

You are solely responsible for ensuring that uploaded content does not violate any law or third-party rights.

8. Artificial Intelligence Services

Certain services may use Artificial Intelligence (AI), Machine Learning (ML), Large Language Models (LLMs), and automation technologies.

• AI-generated outputs may contain inaccuracies.
• Users should independently verify important information.
• OutsourceWise does not guarantee AI-generated results.
• Users remain responsible for business decisions made using AI outputs.

9. Payments and Billing

• Fees must be paid according to agreed plans or invoices.
• All payments are non-refundable unless stated otherwise.
• Late payments may result in suspension of services.
• Taxes, GST, duties, and government charges remain the responsibility of the user.

10. Subscription Services

For recurring subscription services:

• Subscriptions renew automatically unless canceled.
• Users may cancel before the next billing cycle.
• No partial refunds are provided for unused periods.

11. Third-Party Services

Our services may integrate with third-party platforms including:

• WhatsApp
• Meta Platforms
• Google Services
• Cloud Providers
• Payment Gateways
• Communication APIs

OutsourceWise is not responsible for outages, changes, pricing modifications, restrictions, or policies imposed by third-party providers.

12. Limitation of Liability

To the maximum extent permitted by law, OutsourceWise shall not be liable for:

• Indirect damages
• Loss of profits
• Loss of business opportunities
• Data loss
• Service interruptions
• AI-generated inaccuracies
• Third-party service failures

Our total liability shall not exceed the amount paid by the user during the preceding three months of service.

13. Indemnification

You agree to defend, indemnify, and hold harmless OutsourceWise, its directors, employees, partners, and affiliates from claims, damages, liabilities, costs, and expenses arising from:

• Your use of services
• Your content
• Your violation of these Terms
• Your violation of applicable laws

14. Service Availability

We strive for uninterrupted service but do not guarantee:

• 100% uptime
• Error-free operation
• Continuous availability
• Compatibility with all devices or browsers

15. Suspension and Termination

OutsourceWise may suspend or terminate accounts without notice if:

• Terms are violated
• Fraudulent activity is detected
• Required by law
• Payment obligations are not fulfilled

16. Confidentiality

Both parties agree to maintain confidentiality of proprietary and non-public information shared during service delivery.

17. Data Protection

Use of personal information is governed by our Privacy Policy.

18. Force Majeure

OutsourceWise shall not be liable for delays or failures caused by events beyond reasonable control, including:

• Natural disasters
• Internet outages
• Government actions
• Cyber attacks
• War
• Pandemics
• Labor disputes

19. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of India.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts located in Ahmedabad, Gujarat, India.

20. Changes to Terms

OutsourceWise reserves the right to update or modify these Terms at any time.

Continued use of our services after changes are published constitutes acceptance of the revised Terms.
